1. ACCEPTANCE OF TERMS

1.1 Binding Agreement

By downloading, installing, or using the Lemaire & Co application for macOS (hereinafter, the "Application" or "Software"), you (hereinafter, the "User" or "Licensee") agree to be legally bound by these Terms of Use (hereinafter, the "Terms"), as well as our Privacy Policy, which is incorporated by reference.

IF YOU DO NOT ACCEPT THESE TERMS IN THEIR ENTIRETY, DO NOT INSTALL, ACCESS, OR USE THE APPLICATION.

1.2 Legal Capacity

By accepting these Terms, you represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction
• You possess full legal capacity to enter into a binding contract
• You are not prohibited by law from receiving or using the Software

2. GRANT OF LICENSE

2.1 Non-Exclusive Personal Use License

Subject to compliance with these Terms and payment of applicable license fees, Lemaire & Co grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download one (1) copy of the Software
• Install and run the Software on Mac devices you own for personal use
• Use all Software functionalities in accordance with its documentation

2.2 License Scope

2.2.1 Authorized Devices

Your license allows you to install and use the Software on:

• Your personal Mac devices (example: personal MacBook and home iMac)
• Technical limitations may apply to prevent unauthorized use on multiple simultaneous devices

2.2.2 Single Purchase, Lifetime Access

The purchased license includes:

• Perpetual access to the Software
• All minor updates (e.g., 1.1, 1.2) at no additional cost
• All future major updates (e.g., 2.0, 3.0) at no additional cost

2.2.3 Use Exclusions

This license does NOT permit:

• Commercial or business use (requires separate corporate license)
• Installation on third-party devices
• Sharing the license with other individuals
• Use in internet cafés, public laboratories, or similar settings

2.3 License Ownership

Lemaire & Co retains at all times full and complete ownership of the Software, including without limitation all source code, designs, algorithms, trademarks, and documentation. This license does not transfer any ownership rights to you. You only acquire a limited right to use according to these Terms.

3. USE RESTRICTIONS

3.1 Absolute Prohibitions

You expressly agree that you will NOT perform nor allow third parties to perform the following actions:

3.1.1 Modification and Derivatives

• Modify, adapt, alter, or translate the Software
• Create derivative works based on the Software
• Reverse engineer, decompile, disassemble, or attempt to discover the source code (except as permitted by mandatory law)
• Remove, alter, or obscure copyright, trademark, or other proprietary notices

3.1.2 Distribution and Transfer

• Sell, rent, lease, sublicense, or distribute the Software
• Transfer your license to third parties without express written authorization
• Make the Software available on networks or multi-user systems where multiple users can access simultaneously
• Publish or share installation files, license keys, or activation information

3.1.3 Improper Use

• Use the Software for illegal or unauthorized purposes
• Circumvent or alter technical protection measures of the Software
• Remove, disable, or hide any digital rights management (DRM) system
• Use the Software in ways that infringe third-party rights

4. INTELLECTUAL PROPERTY

4.1 Copyright

The Software, including without limitation its code, structure, organization, graphics, design, compilation, digital content, and all other elements, is protected by copyright laws of Spain, the European Union, and international treaties, as well as trademark laws and other intellectual and industrial property laws.

All rights not expressly granted in these Terms are reserved by Lemaire & Co.

4.2 Trademarks

"Lemaire & Co", Lemaire & Co logos, "Heritage Collection", "Classic Roman Collection", "Field-Ops Collection", and other product and feature names are trademarks or registered trademarks of Lemaire & Co LLC. You do not acquire any rights or license to these marks, except the limited right to identify that you have legally acquired the Software.

5. UPDATES AND MODIFICATIONS

5.1 Software Updates

5.1.1 Free Updates Policy

Your license includes access at no cost to:

• Bug fix updates (patches)
• Security updates
• Minor updates that add features
• Major updates that include substantial changes

All future Software updates are included in your single purchase.

5.2 Terms Modification

We reserve the right to modify these Terms at any time to:

• Reflect changes in the Software
• Comply with legal or regulatory requirements
• Improve clarity or add details
• Address new circumstances or functionalities

For material changes:

• We will post the updated Terms on our website with a new effective date
• We will notify you by email (if we have your address) at least 30 days in advance
• We will highlight substantial changes in a summary

6. REFUND POLICY

We offer a 14-day money-back guarantee from the date of purchase.

6.1 Eligibility for Refund

You are eligible for a refund if:

• The Software has technical problems that we cannot resolve within a reasonable time
• The Software does not meet the specifications stated on our website
• You are not satisfied with the Software for any reason (within 14 days)

6.2 Refund Request Process

To request a refund:

1. Contact support@lemaireandco.com with subject "Refund Request"
2. Include your order number and brief reason for the refund
3. We will respond within 48 business hours
4. Once approved, the refund will be processed within 5-10 business days

7. WARRANTIES AND EXCLUSIONS

7.1 Limited Warranty

We warrant that:

• The Software will perform substantially in accordance with the documentation
• We have the right to grant the license
• The Software does not infringe third-party intellectual property rights

7.2 Warranty Exclusions

EXCEPT AS EXPRESSLY PROVIDED, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LEMAIRE & CO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid for the Software license.

9. TERMINATION

9.1 Termination by User

You may terminate this license at any time by uninstalling and destroying all copies of the Software. This does not entitle you to a refund unless you are within the 14-day refund period.

9.2 Termination by Lemaire & Co

We may terminate your license immediately if you breach any term of these Terms, particularly:

• Unauthorized distribution or sharing of the Software
• Circumvention of technical protection measures
• Use of the Software for illegal purposes
• Commercial use without appropriate license

10. APPLICABLE LAW AND DISPUTE RESOLUTION

10.1 Applicable Law

These Terms are governed by and construed in accordance with the laws of Spain, without giving effect to its conflict of laws provisions. Also applicable are European Union consumer protection legislation and the General Data Protection Regulation (GDPR) 2016/679.

10.2 Jurisdiction and Competence

For EU/Spain Consumer Users

In accordance with EU consumer protection legislation, consumers may file claims with:

• The courts of their habitual residence
• The courts of Barcelona, Spain (merchant's domicile)

For Non-Consumer Users

The parties irrevocably submit to the exclusive jurisdiction of the courts of Barcelona, Spain, for any dispute related to these Terms.

10.3 Alternative Dispute Resolution (ADR)

EU consumers may use the European Commission's online dispute resolution platform:

12. FINAL ACCEPTANCE AND CONSENT

By installing, copying, downloading, accessing, or otherwise using the Software, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE.

If you do not accept these Terms, you have no right to access or use the Software.
